01Introduction and Acceptance
Welcome to Suilify.
These Terms of Service ("Terms") govern your access to and use of the Suilify ecosystem, including suilify.com, suilify.org, associated applications, smart contracts, wallet interfaces and related services (collectively, the "Platform").
The Platform is operated by Lify Foundation, with its registered address listed as Seychelles (the "Operator").
By accessing the Platform, connecting a cryptocurrency wallet or using any available service, you acknowledge that you have read and understood these Terms and agree to be bound by them.
If you do not agree to these Terms, you must not use the Platform.
02Platform Description
Suilify is a blockchain-based platform providing access to automated digital asset arbitrage technology and related account management features.
The Platform operates using BNB Smart Chain (BSC) infrastructure and may incorporate algorithmic analysis, smart contracts, liquidity mechanisms and automated transaction execution.
Depending on availability and eligibility, users may access:
- Wallet-based account authentication.
- USDT participation mechanisms.
- Automated arbitrage-related services.
- Account activity and transaction records.
- Available profit allocation information.
- Referral and marketing incentive features.
- Blockchain transaction verification tools.
Suilify is not affiliated with the Sui blockchain, Sui Foundation or Mysten Labs.
Access to the Platform does not establish a banking relationship or guarantee any particular financial outcome.
The legal and regulatory status of individual services depends on their actual operation and the jurisdictions in which they are offered.
03Eligibility and Restricted Jurisdictions
To use Suilify, you must:
- Be at least 18 years old or the legal age of majority in your jurisdiction, whichever is higher.
- Have the legal capacity to enter into binding agreements.
- Use the Platform only where participation is legally permitted.
- Provide accurate information where verification is required.
- Comply with applicable anti-money laundering, sanctions and financial crime laws.
The Platform may restrict access to users in jurisdictions where its services cannot lawfully be offered.
Suilify may require identity verification or additional eligibility checks when required by applicable law.
A user must not access the Platform through technical measures designed to circumvent applicable geographic or legal restrictions.
04Wallet Connection and Blockchain Transactions
Suilify provides wallet-based access through compatible third-party wallet applications.
Users retain responsibility for their wallet credentials, private keys, recovery phrases and transaction approvals.
Suilify will never request your private keys or recovery phrase.
Wallet connections, signatures, token approvals and blockchain transactions may have different technical and legal consequences. Users must review each request before authorizing it.
Certain smart contract permissions may remain active after initial approval until revoked.
Blockchain transactions may be irreversible, and network fees may apply regardless of transaction success.
05Participation and Automated Arbitrage
Where available, eligible users may transfer supported digital assets to a designated smart contract or platform-managed liquidity pool for participation in the applicable arbitrage program.
Automated strategies may evaluate market prices, liquidity conditions, trading fees, execution timing, slippage and other relevant market factors.
Participation does not guarantee that profitable opportunities will exist or that any strategy will achieve positive returns.
The Platform may experience trading losses, interrupted operations, execution failures, liquidity constraints or unexpected market conditions.
The applicable transaction interface must disclose the destination of contributed assets, the principal withdrawal or redemption rules, any lock-up periods and material limitations before users authorize transfers.
06Access Fees and Participation Requirements
The Platform's current commercial model includes:
- Platform access fee: 100 USDT.
- Minimum participation amount: 10 USDT.
- No fixed maximum participation amount currently advertised, subject to applicable technical, eligibility and risk controls.
- Withdrawal fee: 5% on applicable withdrawals.
Fees, payment requirements, network charges and transaction conditions must be displayed before the relevant transaction is authorized.
The platform access fee is a commercial charge for access to applicable services and does not constitute a government-issued or regulatory licence.
Any cancellation, refund or withdrawal rights are governed by the terms disclosed for the relevant transaction and by mandatory applicable law.
Suilify will not treat these Terms as overriding any non-waivable consumer rights.
07Profit Allocation and Earnings Limitations
Where the applicable arbitrage program generates distributable realized profits, its current commercial model provides for:
- 70% allocation to eligible participating users.
- 30% allocation to the applicable marketing and incentive pool.
These percentages describe the allocation of qualifying realized profits and do not represent guaranteed investment returns.
The Platform's current earnings program also includes a maximum earnings limit described as 300% of the applicable qualifying contribution basis.
This limit is a ceiling, not a promised or expected return. Users may earn significantly less, receive no distributions or sustain losses.
The calculation and inclusion of Suilify referral commissions, promotional rewards and any separately administered product earnings must follow the applicable published compensation plan.
The precise calculation basis, any exclusions and the consequences of reaching the limit must be disclosed to participants before participation.
The Platform does not guarantee any fixed daily, weekly or monthly return.
08Referral and Marketing Programs
Suilify may offer referral incentives, network-related rewards and promotional campaigns, subject to their respective published rules and qualification requirements.
Participation in a referral program does not automatically entitle a user to compensation.
Rewards may depend on qualifying activity, applicable eligibility requirements, program limitations and lawful marketing practices.
Users must not:
- Promise guaranteed earnings to prospective participants.
- Misrepresent financial risks or platform capabilities.
- Present promotional earnings examples as guaranteed outcomes.
- Engage in misleading, fraudulent or unlawful solicitation.
- Use unauthorized claims of regulatory approval or insurance protection.
Suilify may review, withhold or reverse rewards associated with demonstrably fraudulent or prohibited conduct, subject to applicable law and fair review procedures.
09Withdrawals and Transaction Processing
Withdrawals and distributions are subject to the applicable program rules, available balances, smart contract functionality, network conditions and legal requirements.
A 5% withdrawal fee applies where specified in the relevant withdrawal interface.
Additional blockchain network charges may be payable.
Transaction processing may be delayed by congestion, security incidents, technical failures, compliance reviews or smart contract restrictions.
A displayed account balance does not necessarily constitute an immediately withdrawable balance.
Users should review the applicable withdrawal conditions before transferring assets to the Platform.
10Risk Acknowledgment
By participating in the Platform, users acknowledge that digital asset services involve substantial financial and technical risks.
These include, without limitation:
- Partial or complete loss of contributed digital assets.
- Smart contract vulnerabilities and exploits.
- Market volatility and liquidity shortages.
- Algorithmic or automated execution failures.
- Transaction delays, slippage and network congestion.
- Stablecoin depegging and issuer-related risks.
- Cybersecurity incidents and third-party failures.
- Regulatory changes or service restrictions.
Users should participate only after independently evaluating their financial circumstances, the applicable service terms and the associated risks.
The separate Risk Disclosure forms part of these Terms.
11No Guaranteed Returns or Capital Protection
Suilify does not guarantee profits, fixed returns, uninterrupted distributions or repayment of contributed capital.
References to risk controls, reserves, automated protection mechanisms or similar operational safeguards must not be understood as guarantees against financial loss.
Any actual insurance coverage, if offered, must be established by separate, verifiable policy documentation specifying the insurer, scope, limits and exclusions.
Historical results, simulations, projections and marketing illustrations are not reliable guarantees of future performance.
12Platform Availability and Security
Suilify may carry out maintenance, security updates, infrastructure changes and operational improvements.
Access to certain features may be temporarily interrupted for technical, operational or legally required reasons.
The Operator will take reasonable steps appropriate to its services to protect Platform systems but cannot guarantee that all blockchain networks, connected applications or third-party systems will remain secure or continuously available.
Material changes affecting users' rights or assets will be communicated as required by applicable law.
13Prohibited Activities
Users must not use the Platform for:
- Money laundering or terrorist financing.
- Fraud, impersonation or identity theft.
- Sanctions evasion or other unlawful financial activity.
- Exploiting smart contract vulnerabilities.
- Manipulating referral or reward systems.
- Unauthorized access or interference with Platform systems.
- Any other activity prohibited by applicable law.
The Operator may restrict access or take legally permitted action when reasonably necessary to investigate or prevent prohibited activity.
14Third-Party Services
The Platform may integrate third-party wallets, blockchain networks, analytics providers, infrastructure providers and other services.
Such services may have separate terms, privacy notices and technical risks.
Suilify does not control every component of third-party infrastructure and is not responsible for third-party conduct beyond responsibilities imposed by applicable law.
15Taxes
Users are responsible for determining their tax obligations arising from their own transactions, digital asset holdings and distributions.
Suilify does not provide personalized tax advice.
Where legally required, the Operator may request information or report transactions to competent authorities.
16Intellectual Property
Unless otherwise stated, the Suilify name, original branding, interface designs, platform materials and proprietary software are owned by or licensed to their respective rights holders.
Users may not reproduce or commercially exploit protected Platform materials without authorization, except as permitted by law.
17Limitation of Liability
To the maximum extent permitted by applicable law, liability for losses arising from use of the Platform will be determined according to the applicable legal framework, the nature of the service and the circumstances of the relevant event.
Nothing in these Terms excludes or limits liability that cannot legally be excluded, including liability arising from fraud, deliberate misconduct or other non-excludable statutory obligations.
18Amendments and Service Changes
These Terms may be updated to reflect legal, operational, technological or security developments.
Material changes will be communicated through appropriate Platform channels and with advance notice where required by law.
The effective date of updated Terms will be identified on the relevant page.
19Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Seychelles, without prejudice to any mandatory consumer protection laws or other non-excludable legal rights applicable in the user’s jurisdiction.
Any dispute, claim or controversy arising out of or relating to these Terms or the use of the Suilify Platform shall initially be addressed through good-faith negotiations between the parties.
Users may submit complaints or dispute resolution requests to contact@suilify.org.
If a dispute cannot be resolved amicably, it may be submitted to the competent courts of the Republic of Seychelles, subject to applicable jurisdictional rules and any mandatory rights of users to bring proceedings before other competent courts.
Nothing in these Terms shall exclude or restrict any rights, remedies or protections that cannot lawfully be waived under applicable law.
